
Master Terms of Service

These Master Terms of Service (“Terms”) govern the relationship between Business Masters Enterprises, Inc. (“Company,” “we,” “us,” or “our”) and the individual or entity (“Client,” “you,” or “your”) purchasing or participating in our coaching programs, consulting services, workshops, or digital products (collectively, the “Services”).
By enrolling in any program, including but not limited to the 4-Week Operating Blueprint™ Sprint, the AI Operations Accelerator, Business Coaching or any level of our Build a Better Business™ or Build a Better Boss™ tracks, you agree to be bound by these Terms.
1. Legal Entity, Services, and Professional Development Disclaimer
Legal Entity: Business Masters Enterprises, Inc. (dba Todd Masters FocalPoint Coaching) is a Georgia-based company providing professional development, business coaching, and executive coaching services.
Services (Non-Degree): Our Services may include (without limitation) coaching programs, consulting, workshops, group coaching, 1-on-1 sessions, office hours, assessments, and digital products and resources. You acknowledge that our Services are professional development and educational in nature, and are non-degree.
Non-Vocational Disclosure: You acknowledge that our programs are for professional advancement and business optimization purposes only. They are not vocational in nature, do not provide college credit, do not lead to a degree or diploma, and do not provide licensure for any specific trade or profession.
2. Enrollment and Fees
Client agrees to pay all fees associated with the selected Service as outlined at the time of purchase or in a signed Statement of Work. All fees are in USD unless otherwise specified. Failure to make timely payments may result in immediate suspension of access to the Services.
3. Institutional Refund Policy
All programs offered by Business Masters Enterprises, Inc. are subject to the following institutional refund terms:
Administrative Fee: All enrollments are subject to a $250.00 non-refundable administrative fee.
Refund Deadline: No refunds will be issued for any reason after the commencement of Week 2 (the 8th calendar day) of any program or curriculum.
Digital Assets: Upon enrollment, Clients may receive immediate access to proprietary digital templates, prompt libraries, and the Freedom Framework™ documentation. You acknowledge that these digital assets have significant standalone value and are considered "consumed" upon delivery; therefore, the value of these assets is non-refundable.
Pro-Rata Calculation: Refund requests made in writing prior to the Week 2 deadline will be calculated pro-rata based on the portion of the Services delivered, minus the $250 administrative fee and the value of digital assets accessed.
4. Intellectual Property Rights
All materials provided as part of the Services—including but not limited to the Freedom Framework™, 90 Day Fix and Scale system, Build a Better Business™ curriculum, Build a Better Boss™ frameworks, worksheets, videos, recordings, slide decks, templates, playbooks, SOPs, checklists, assessments, communities, and proprietary AI prompts and training resources—are the sole property of Business Masters Enterprises, Inc.
Strict Protection of Proprietary Systems: The Freedom Framework™ and all related proprietary concepts, processes, terminology, documentation, and implementation tools are protected intellectual property and may not be copied, reverse engineered, adapted, translated, or used to create derivative works.
AI Training Libraries: Any AI-related resources provided by Company (including prompt libraries, workflows, example datasets, automations, scripts, or training materials) are proprietary and may not be shared, published, uploaded to public repositories, used to train third-party models, or used to build competing offerings.
Limited License: Client is granted a single-user, non-transferable, revocable license to use the materials for their own internal business purposes during the term of the Services.
Restrictions: Client shall not record (except with our prior written consent), redistribute, resell, sublicense, or "white-label" any Company IP. You may not use our proprietary frameworks to train third-party coaches, consultants, or competitors, or to offer substantially similar services.
5. Confidentiality
During the course of the Services, both parties may have access to "Confidential Information" (e.g., business financials, team structures, trade secrets). Both parties agree to maintain the strict confidentiality of such information and shall not disclose it to any third party without prior written consent, except as required by law.
6. Disclaimer of Results; No Warranties and No Guarantees
Our coaching, training, and materials are provided for educational and professional development purposes. Individual outcomes vary based on many factors, including your effort, experience, execution, team, market conditions, and industry dynamics.
No Results Guarantee: Business Masters Enterprises, Inc. does not guarantee any specific results, including (without limitation) revenue increases, profit, business performance, hiring outcomes, time savings, operational improvements, or leadership outcomes.
No Financial, Legal, or Tax Advice: Unless expressly stated in a signed writing, Company is not providing legal, tax, accounting, investment, or other regulated professional advice. You are responsible for consulting your own advisors as needed.
No Warranty: THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
7. Program Addendums; Technology Risks
Program Addendums: Certain Services may be subject to additional terms, disclosures, prerequisites, and requirements (each, a “Program Addendum”). Program Addendums are incorporated by reference and control to the extent of any conflict with these Terms. By enrolling in a specific program (e.g., the AI Operations Accelerator, the 4-Week Operating Blueprint™ Sprint, or any other offering), you agree to the applicable Program Addendum provided at checkout, within the program portal, or otherwise delivered in writing.
Technology and Implementation Risks (AI/Automation Programs): Programs involving AI tools, automation, software integrations, or third-party platforms may include additional risks, including inaccurate outputs, hallucinations, tool downtime, security vulnerabilities, data loss, vendor policy changes, compatibility issues, and regulatory or compliance considerations. You are solely responsible for (i) evaluating outputs before use, (ii) implementing appropriate human review and controls, (iii) safeguarding your data and credentials, (iv) complying with all applicable laws and third-party terms, and (v) decisions and actions taken based on any AI-assisted output.
8. Limitation of Liability
To the maximum extent permitted by law, Business Masters Enterprises, Inc. shall not be liable for any indirect, incidental, special, or consequential damages (including loss of profits, loss of data, reputational harm, or business interruption) arising out of the use or inability to use the Services, even if advised of the possibility of such damages. Our total liability for any claim shall not exceed the total amount paid by the Client to the Company during the twelve (12) months preceding the claim.
9. Conduct; Professional Behavior
You agree to conduct yourself in a professional manner in all group sessions, 1-on-1 sessions, communications, and community spaces (if applicable). We may, at our discretion, remove any participant from a session or program (without refund) for behavior that is disruptive, harassing, discriminatory, threatening, unsafe, unlawful, or otherwise inconsistent with a professional learning environment, or for violating these Terms or any Program Addendum.
10. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in Gwinnett County, Georgia.
11. Relationship of Parties
Nothing in these Terms creates a partnership, joint venture, or employer-employee relationship. Business Masters Enterprises, Inc. is an independent contractor.
12. Modifications
Company reserves the right to modify these Terms at any time. Updated Terms will be posted on our website, and continued use of the Services following such changes constitutes acceptance of the revised Terms.
